CHAPTER IV – THE CLUB’S MEMBERS

ARTICLE 4. THE CLUB’S MEMBERS AND CATEGORIES OF MEMBERSHIP CARDS

4.1 Based on the Company’s policies in effect from time to time, the Company shall issue various categories of Membership Cards. The list, terms and conditions of each Membership Card category, including but not limited to duration, transferability, and applicable fees, shall be specified in Appendix 1 attached to this Charter.

4.2 The Company has the sole and absolute right, without consultation or prior consent, to issue, amend, or supplement Membership Card categories as it deems appropriate in accordance with the actual operation and development stage of the Club. The criteria and conditions applicable to each Membership Card category shall be determined by the Company.

4.3 The Company has the sole right to amend, supplement, or replace the Joining Fee and related conditions set out in the detailed Regulations of the Club and shall notify Members accordingly from time to time.

4.4 Annual Dues are specified in detail in the “Table of Annual Dues” and the “Regulations on Annual Dues,” which are issued and may be amended by the Company from time to time without prior notice, including the following:

4.4.1 Annual Dues for Individual, Corporate, Floating, and Long-term Membership Cards shall be collected on an annual basis.

4.4.2 Annual Dues for Complimentary and Honorary Membership Cards shall be collected annually, or alternatively, a standard playing fee shall be charged per round, subject to the Company’s decision from time to time.

4.4.3 Short-term annual Membership Cards are not subject to Annual Dues.

4.4.4 Short-term Membership Cards with a duration of two (02) to five (05) years may be subject to Annual Dues, subject to the Company’s decision.

4.5 The duration of Membership shall be determined as follows:

4.5.1 Membership Cards shall be issued pursuant to the Company’s decision, with a duration corresponding to the value of the Membership granted. The commencement date and expiry date shall be clearly indicated on the Membership Card.

4.5.2 Honorary Membership Cards and Complimentary Membership Cards shall have durations as determined by the Company from time to time.

4.5.3 The duration of Membership Cards may be adjusted in accordance with the Company’s regulations.

 

ARTICLE 5. MEMBERSHIP APPLICATION

5.1 First Application for Membership Card

5.1.1 Any application for Membership by an individual or organization must comply with the Charter, Regulations, and policies of the Club/Company and shall be subject to approval by the Company Leader.

5.1.2 The applicant is responsible for reading, understanding, and acknowledging the Charter, Regulations, and all published policies, and must agree to comply with them.

5.1.3 By signing the Charter and Regulations, the applicant agrees to learn, update, respect, and implement the Club’s Charter, Regulations, and policies as issued or amended by the Company from time to time.

5.2 Re-issuance of Membership Card

In the event that a Membership Card is lost, stolen, or damaged, the Member must immediately notify the Company/Manager in writing and pay the applicable re-issuance fee in accordance with the Company’s regulations to obtain a replacement card.

 

ARTICLE 6. MEMBER’S PRIVILEGES AND OBLIGATIONS

6.1 Member’s Privileges

6.1.1 The right to use the golf courses, clubhouse, and other facilities of the Club in accordance with the Regulations.

6.1.2 Discounts and promotions as published from time to time, at the sole discretion of the Manager, applicable to the driving range, Pro Shop, and other available services (if any).

6.1.3 The right to invite guests to play golf in accordance with the Regulations, excluding Junior Memberships and Associate Memberships under eighteen (18) years of age.

6.1.4 The right, subject to the applicable membership type and terms, to transfer the Membership Card to another individual or corporation after fully paying the transfer fee and other related fees in accordance with the Company’s regulations at the time of transfer.

6.1.5 Priority tee time reservations in accordance with the Regulations of the Club.

6.1.6 Reciprocal playing privileges at Kings Course and three (03) Kings Members participating in Nicklaus Design Courses Worldwide, in accordance with the policies issued by Nicklaus Design Courses from time to time.

6.1.7 Reciprocal playing privileges at other BRG Golf properties in accordance with the policies issued by BRG Golf from time to time.

6.1.8 The right to request an official handicap card issued and recorded by the Club.

6.1.9 The right to submit comments, feedback, and suggestions to the Manager.

6.1.10 Other privileges as regulated by the Company from time to time.

6.2 Member’s Obligations

6.2.1 To present a valid Membership Card bearing the Member’s image when entering the Club and using the Club’s facilities.

6.2.2 To pay Annual Dues and other related fees (if any) in full and on time in accordance with the Company’s regulations.

6.2.3 To learn, respect, and comply with the Club’s Charter, Regulations, and policies as issued or amended from time to time.

6.2.4 Where possible, to actively participate in Club activities and contribute to strengthening exchanges, cooperation, and Club culture.

6.2.5 To accompany guests at all times while they are at the Club, to inform guests of the Club’s Regulations, and to be fully responsible for the actions and conduct of their guests.

6.2.6 Junior Members must always be accompanied by a person over eighteen (18) years of age. In case a Junior Member causes damage, the legal guardian shall bear full responsibility and compensate for any damage to persons and/or property within the Club.

6.2.7 To pay penalties for violations of this Charter or the Club’s Regulations in accordance with the Company’s provisions in force at the time of violation, and to compensate for any damage caused by the Member or the Member’s guest (if any).

6.2.8 To maintain proper etiquette, discipline, and sportsmanship in the spirit of the game.

6.2.9 Any statements or actions, including omissions, that adversely affect the reputation or image of the Club, the Company Leader, or other Members are strictly prohibited.

6.2.10 To comply with all instructions of the Club and properly handle matters not expressly stated in the Charter and Regulations from time to time.

6.2.11 To fulfill other obligations as prescribed by the Company’s regulations from time to time.

 

ARTICLE 7. SUSPENSION AND TERMINATION OF MEMBERSHIP

7.1 Membership may be suspended or terminated immediately by the Company or the Manager, without prior notice or recourse, if the Member commits any of the following acts:

7.1.1 Violates the Charter and/or Regulations of the Club.

7.1.2 Causes damage to or diminishes the value of the Club’s property or facilities without providing compensation as required by the Company.

7.1.3 Causes disturbances, disputes, or fights within the Club.

7.1.4 Fails to respect or fulfill membership obligations.

7.1.5 Fails to pay Annual Dues as stipulated in Article 6.2 on time.

7.1.6 Commits any other act that the Company Leader deems harmful to other Members or to the Club.

7.2 In addition to the cases set out in Article 7.1, the Company reserves the right to terminate Membership in the following circumstances:

7.2.1 Violates two (02) regulations listed in Article 7.1, or violates one (01) regulation twice or more.

7.2.2 Fails to pay fees specified in Article 6.2 for more than thirty (30) days from the due date. In such case, Membership shall terminate upon issuance of a termination notice by the Company. Fees already paid shall not be refunded, and outstanding debts (if any) must be settled.

7.2.3 Membership privileges end when the Membership Card is transferred.

7.2.4 Death of an Individual Member or loss of civil capacity, except as otherwise provided in Article 10 of this Charter.

7.2.5 Dissolution, bankruptcy, or cessation of operations of a Corporate Member.

7.2.6 Expiration of the Membership Card.

7.2.7 Dissolution of the Club.

7.2.8 Other cases as determined by the Company from time to time.

7.3 The Company Leader shall consider the Manager’s recommendations before issuing a decision to suspend or terminate Membership. The decision of the Company Leader shall be final and binding.

 

ARTICLE 8. TRANSFER OF MEMBERSHIP

8.1 Subject to the Membership Card category, Membership may be transferred to another individual or corporation.

8.2 Conditions for Membership transfer:

8.2.1 The right to approve Membership transfers rests solely with the Company. The Transferor must satisfy all transfer conditions applicable to the Membership Card category specified in Appendix 1 of this Charter.

8.2.2 The Transferor must submit a transfer application and obtain written approval from the Company prior to the transfer.

8.2.3 The Transferor must fully settle all financial obligations to the Company, including the Membership Transfer Fee and any other related fees, in accordance with the Company’s regulations at the time of transfer.

8.2.4 The Transferor and Transferee shall be solely responsible for all taxes, fees, and financial obligations arising from the transfer (if any).

8.3 Upon satisfaction of all conditions set forth in Article 8.2, the Company shall issue a new Membership Card and provide one (01) copy of the Club’s Charter and Regulations to the Transferee.

8.4 The Transferee must be interviewed by the Manager to ensure full understanding of the Club’s Charter, Regulations, and policies, and must sign the Charter and Regulations as a commitment to comply with them at all times.

8.5 The Transferee shall inherit all privileges of a Member and assume full responsibility for fulfilling all obligations of Club Membership immediately upon issuance of the new Membership Card or upon completion of all conditions under Article 8.2, whichever occurs later.

 

ARTICLE 9. CHANGE OF NOMINEE OF CORPORATE MEMBERSHIP

9.1 Corporate Members may change their nominee(s) in accordance with the “Regulations for Changing a Membership Card Nominee,” subject to submission of a request and approval by the Company Leader.

9.2 A change of nominee(s) shall take effect only after approval by the Company Leader and upon completion of all required procedures and full payment of applicable fees in accordance with the Company’s regulations.

9.3 The nominee(s) must be interviewed by the Manager and must sign the Club’s Charter and Regulations to acknowledge and agree to comply with all policies, rules, and regulations of the Club.

 

ARTICLE 10. DEATH OF AN INDIVIDUAL MEMBER

10.1 In the event of the death of an Individual Member, the Company shall facilitate the transfer of the Membership to the legal heir if the deceased Member has not left a will.

The legal heir must submit a request for transfer together with the Membership Card, relevant legal documents of the deceased, and proof of inheritance entitlement.

If the transfer is approved, the heir shall pay a Membership Transfer Fee equal to fifty percent (50%) of the prevailing Transfer Fee applicable at the time of transfer.

10.2 If there is more than one (01) heir, the heirs must unanimously designate one individual to inherit the Membership. The Company shall not participate in any dispute among heirs.

10.3 The Membership transfer procedure must be completed within twelve (12) months from the date of death of the Member. Upon expiry of this period, the Membership shall be terminated.

 

ARTICLE 11. CESSATION OF CLUB OPERATIONS

11.1 Membership may be terminated by the Company prior to the Membership Card’s expiry date if the Club ceases operations for any of the following reasons:

11.1.1 Force majeure events, being events beyond reasonable control, including but not limited to changes in laws or policies, war, acts of God such as floods, tornadoes, earthquakes, or other natural or man-made disasters.

11.1.2 Cessation of Club operations due to decisions or directives of governmental authorities.

11.2 In the event of cessation of operations under Article 11.1.1, the Company shall not be liable to compensate Members.

11.3 In the event of cessation of operations under Article 11.1.2, the Company shall compensate Members with the remaining value of the Membership Card based on the prevailing price of a Membership Card of the same category at the time of termination.

 

ARTICLE 12. VALIDITY

12.1 The Company reserves the right to amend, supplement, replace, or modify this Charter from time to time to align with the development and operational requirements of the Club. Members and other relevant parties are responsible for applying and implementing the updated Charter, amendments, or supplements (if any). In the event of any inconsistency between this Charter and other regulations, agreements, or documents, the most recent version issued by the Company shall prevail.

12.2 This Charter shall take effect from the date of signing and shall replace all previous Charters, Regulations, correspondence, and other documents containing terms and conditions inconsistent with this Charter.
